Seller Agreement

This Seller Agreement ("Agreement") is between you ("Seller", "you") and Shop Africa USA ("we", "us", "the Marketplace"). By submitting a seller application or listing products, you agree to these terms.

1. Eligibility & account

You must be at least 18 and legally able to sell the products you list. You must provide accurate business, identity, and contact information, and keep it current. We review every application and may approve or decline at our discretion.

2. Your products

• You are solely responsible for the products you list, including their legality, safety, labeling, and compliance with applicable regulations (for example, FDA requirements for food and cosmetics).
• Every product is submitted for admin review before it is published to the Shop Africa USA storefront. We may request changes, decline, or remove any listing.
• You confirm you own or are authorised to sell each product and that listings are accurate and not misleading.

3. Commission & fees

There are no listing or signup fees. Shop Africa USA charges a flat 10% commission on the total value of each completed sale. Your earnings for an order are the order total minus the 10% commission. Commission rates may change with reasonable notice.

4. Orders & fulfillment

When you receive an order, you agree to process and ship it promptly to the customer address provided, record the carrier and tracking information, and mark the order shipped and delivered. You are responsible for packaging, shipping costs (unless otherwise agreed), and delivery.

5. Payouts

Earnings become eligible for payout after an order is marked delivered. You may request a payout once your eligible balance reaches the minimum ($50 at launch). Payouts are made by manual bank transfer after review. You are responsible for providing accurate payout details and for any taxes owed on your earnings.

6. Taxes

You are responsible for determining and remitting any taxes arising from your sales. Where required, you agree to provide valid tax information (such as a W-9 or W-8BEN) before receiving payouts, and you consent to any tax reporting we are legally required to make.

7. Prohibited conduct

You may not list illegal, counterfeit, unsafe, or prohibited items, manipulate reviews, misrepresent products, or circumvent the Marketplace to complete sales off-platform. Violations may result in suspension or removal.

8. Suspension & termination

We may suspend or terminate your account for breach of this Agreement, legal or safety concerns, or repeated customer issues. You may close your account at any time; obligations for pending orders and payouts survive closure.

9. Liability

Shop Africa USA is a marketplace connecting sellers and buyers. To the fullest extent permitted by law, we are not liable for indirect or consequential damages arising from your use of the platform. Your relationship with buyers is your responsibility.

10. Changes

We may update this Agreement with reasonable notice. Continued use after changes take effect constitutes acceptance.
